Company / History

History

State Concern Atomredmetzoloto was founded in 1991 to succeed to the former First Chief Directorate of the USSR Ministry of Medium Machine Building and later operated within the structure of the Ministry for Atomic Energy of the Russian Federation. The concern was an industrial complex of mining and processing enterprises located in six counties within the Commonwealth of Independent States — Russia, Ukraine, Uzbekistan, Kazakhstan, Tajikistan, and Kyrgyzstan. State Concern Atomredmetzoloto was involved in exploration, mining and processing of uranium- and gold-bearing ores, as well as of rare and rare earth element ores. It was also engaged in design of mines, ore processing facilities, and machine engineering plants. In 1995 , State Concern Atomredmetzoloto was reorganized to become a joint stock company of the open type. In 1999, owing to the re-registration of joint stock companies, it was transformed into JSC Atomredmetzoloto.

The enterprise was granted the certification audit for compliance with the requirements of the Integrated Management System (IMS).

New stowing complex was commissioned after completion of industrial testing at PJSC PIMCU. It is designed to fill the stowing mixtures into underground uranium mine goaf. It is necessary to fill in the underground voids for safe continuation of mining and in order to reduce the environmental impact. The plant consists of three quickly erected modules.

JSC Atomredmetzoloto and the Government of the Arkhangelsk region signed an agreement on cooperation. The document sets forth the conditions for implementation of social and industrial programmes promoting integrated regional development, sustainable development of the mining enterprises in the Novaya Zemlya and balanced mutual interests.

According to the jury of MarCom Awards American Corporate Communications competition, the integrated annual report of JSC Atomredmetzoloto was recognized as the “Golden” winner in the category “Best Annual Report of a Corporation”. Compliance with international standards of training and the high quality of the Report helped ARMZ win the first prize among the world’s largest corporations.

In terms of development quality, the JSC Atomredmetzoloto 2012 Integrated Annual Report was named one of the TOP-10 reports prepared by 100 leading companies in Russia and the CIS, according to assessment of Expert RA Rating Agency. Also, the Report became a winner in the nomination Best Annual Report Idea and Design within the framework of the 10th Annual Report Competition among companies pertaining to the fuel and energy sector.

Under the production diversification programme, JSC PIMCU launched a project on Optimization and Logistics of Open-Pit Coal Mine aimed at boosting volumes of brown coal mined at the Urtuiskiy open pit.

An Agreement on Cooperation and Joint Business was signed between JSC RUSBURMASH and JSC Kazgeology.

JSC PIMCU implemented a new integrated technology for processing low-grade uranium ores.

JSC Atomredmetzoloto successfully completed the YAT11 project to create a geological database for the Streltsovskoye Ore Field, whose commercial development is performed by JSC PIMCU.

A deal is announced to acquire 100% of the Australian publically listed company Mantra Resources Limited.

A deal is finalized to consolidate a controlling stake in Uranium One Inc.

2009
ARMZ’ starts foreign trade operations in earnest, consolidating the Russian owned shares in three joint ventures carrying out uranium production in Kazakhstan. The company becomes a minority shareholder in a Canadian public company Uranium One Inc.

January
SC Atomredmetzoloto shareholders decide to increase the company’s charter capital by placing additional shares in favor of Rosatom. The Rosatom Supervisory Board approves a decision to participate in JSC Atomredmetzoloto.

March
A deal is approved by the relevant state body of the Republic of Kazakhstan for JSC Atomredmetzoloto to acquire 100% of Effective Energy NV (The Netherlands), which owns uranium mining assets in Kazakhstan.

Russian Prime Minister Vladimir Putin, in directive No. 302-r dated 10.03.2009, approves the passport for the complex investment project “Development of project documents for the implementation of the investment project Comprehensive Development of Southern Yakutia”.

ARMZ Uranium Holding Co. announces the acquisition of a significant stake in Canada’s Uranium One Inc.

Construction of a bridge over the River Vitim is completed, as part of a program for the development of transport infrastructure at JSC Khiagda.

JSC PIMCU completes construction of a sulfuric acid plant with a capacity of 180,000 tons per year.

July
Russian Prime Minister Vladimir Putin signs directive No. 909-r dated July 11, 2009, on the provision of federal budget subsidies to Rosatom as a capital contribution by the Russian Federation in the amount of 50 billion rubles for the acquisition of shares in JSC Atomredmetzoloto.

As part of an additional share issue by JSC Atomredmetzoloto, the first tranche of funds is received from Rosatom in the amount of 16.898 billion rubles, paid out under a directive from the government of the Russian Federation on the provision of state subsidies. Rosatom became the owner of a controlling stake in JSC Atomredmetzoloto (51.83%).

ARMZ Uranium Holding Co. starts to develop the Itmanovskaya titanium-zirconium sand placer deposit.

Russia and Mongolia sign an intergovernmental agreement to set up a uranium mining joint venture.

October
At the fifth Russian mining forum MINEX 2009, which is held in Moscow from September 30 to October 2, ARMZ Uranium Holding Co. is declared Investor of the Year for its asset swap with the Canadian company Uranium One.

ARMZ Uranium Holding Co. (JSC Atomredmetzoloto) publishes its consolidated IFRS report for 2008 and an independent audit report, prepared by BDO Unikon.

November
The asset swap with Canada’s Uranium One is approved by the Kazakh Ministry for Energy and Mineral Resources.

December
Public hearings are held in Aldan (Sakha Republic (Yakutia)) on a declaration of intent for the development of the Lunnoye deposit. The project receives the full approval of local residents and the industrial and ecological safety regulators.

The asset swap with the Canadian company Uranium One is approved by Australia’s Foreign Investment Review Board (FIRB).

ARMZ Uranium Holding Co. and Canada’s Uranium One Inc. finalize a deal to exchange a 50% stake in JV Karatau belonging to ARMZ Uranium Holding Co. (JSC Atomredmetzoloto) for a stake in Uranium One Inc. As a result, JSC Atomredmetzoloto becomes the owner of 19.9% of Uranium One Inc.

Hearings are held in Trans-Baikal Territory on a project to develop the Berezovoye deposit.

2008
As a result of the nuclear industry restructuring under ARMZ control, all Rosatom’s uranium producing companies are consolidated. Extraction licenses for reserve uranium deposits are reissued, including those covering all the deposits in the largest uranium ore district — the Elkon District. Atomredmetzoloto, OJSC assumes the full authority to satisfy the domestic and foreign demand of the Russian nuclear industry for the necessary raw materials and becomes one of leading global producers of uranium.

Productive solutions with industrial uranium content are received at the Khokhlovskloye deposit (JSC Dalur).

An agreement is signed with the administration in Trans-Baikal Territory to create conditions for state-private partnership in Trans-Baikal Territory during the implementation of investment projects.

An agreement is signed by State Nuclear Energy Corporation Rosatom and the Nuclear Energy Agency of Mongolia on cooperation in nuclear energy and in uranium production. ARMZ is the main party to this agreement on the Russian side.

April
A permanent conditions feasibility study for the Khiagda deposit (JSC Khiagda) is approved by the State Reserves Committee.

Atomredmetzoloto draws up licenses for the Elkon, Elkon Plateau, Kurung, Neprokhodimoye, Druzhnoye, Severnoye, Zona Interesnaya, Gornoe, Berezovoye and Orlovskoye deposits.

Three companies receive licenses to working with nuclear materials (JSC Elkon MMP, JSC OMMC, and JSC Gornoe Uranuim Mining Company (GUMC)).
